Mentor Agreement

This Mentor Agreement (“Agreement”) is entered into between Iron Sea (NIE: Y5050888X), trading as Mentorship.world (“Platform”), and you, the individual applying to offer mentorship services (“Mentor”). By submitting a mentor application and, upon approval, by using the Platform to deliver sessions, you agree to be bound by this Agreement in full.

1. Independent Contractor Status

You provide mentorship services as an independent contractor, not as an employee, agent, partner, or joint venturer of Mentorship.world. Nothing in this Agreement creates any employment, agency, or partnership relationship.

You are solely responsible for:

• Determining your own work schedule and availability
• The content, accuracy, and quality of the advice and guidance you provide
• Compliance with all applicable professional licensing, regulatory, and ethical obligations in your jurisdiction
• Your own tax obligations arising from income received through the Platform, including VAT where applicable

Mentorship.world does not withhold income tax, social security contributions, or any other deductions from your payouts. You are responsible for declaring and paying all taxes due on your earnings.

2. Platform Commission

Mentorship.world charges a commission on each completed paid session as follows:

• Founding Mentors (approved during the founding cohort): 15% platform commission. You receive 85% of the session fee.
• Standard Mentors (approved after the founding cohort closes): 20% platform commission. You receive 80% of the session fee.

The founding cohort closes when 50 mentors have been approved, or on 31 December 2026, whichever comes first. The applicable commission rate is confirmed at the time of your approval and displayed in your Mentor Dashboard. Mentorship.world reserves the right to adjust the standard commission rate for future mentors with 30 days' written notice. The founding mentor rate is fixed permanently for the duration of your active account.

Free 15-minute introductory calls are not subject to any commission. No payment is collected or distributed for these sessions.

3. Payouts via Stripe Connect

Payments from mentees are collected by Mentorship.world via Stripe. Your share of each completed session is disbursed to your registered Stripe Connect account:

• Funds are released from escrow to your Stripe Connect balance within 24 hours of confirmed session completion, subject to no dispute being raised. Transfer to your bank account follows your Stripe account settings (typically 2–7 business days).
• You must complete Stripe's identity verification and Connect onboarding to receive payouts. Failure to complete onboarding within 30 days of approval will result in account suspension until onboarding is complete.
• Mentorship.world is not liable for delays caused by Stripe or your bank, or incomplete Connect onboarding.
• In the event of a dispute or refund, the corresponding payout to you may be reversed or withheld pending resolution.

4. Credential Accuracy and Fraud

You warrant that all credentials, qualifications, work history, and professional information submitted in your application and displayed on your profile are accurate, genuine, and current at the time of submission and at all times your profile is active.

You must notify Mentorship.world immediately at info@mentorship.world if any credential lapses, is revoked, or is subject to disciplinary proceedings.

Where you are found to have submitted fraudulent or materially misleading credentials, you bear sole liability for any resulting harm to mentees or third parties. Mentorship.world's verification is performed in good faith based on documents provided and does not constitute a guarantee of their authenticity.

Submission of fraudulent credentials is grounds for immediate permanent termination of your account and may be reported to relevant professional authorities.

5. Service Standards

You agree to:

• Attend all confirmed sessions punctually and prepared
• Deliver sessions with reasonable care, skill, and professionalism
• Maintain confidentiality regarding any personal or professional information shared by mentees during sessions
• Respond to booking requests and mentee messages within a reasonable time (within 48 hours as a guideline)
• Keep your availability calendar accurate to avoid unnecessary cancellations
• Not offer or accept payments outside the Platform to circumvent the commission structure
• Not record sessions without the prior written consent of the mentee
• Cancellation of a confirmed session with less than 12 hours' notice may result in a full refund to the mentee being deducted from your pending earnings. Three or more cancellations within any 30-day period may result in account suspension.

6. Non-Solicitation

During the term of this Agreement and for 12 months following its termination, you agree not to:

• Directly solicit mentees you met through the Platform for paid services delivered outside the Platform
• Encourage mentees to circumvent the Platform's booking or payment system

Casual professional networking, LinkedIn connections, and publicly available content are not restricted by this clause.

7. Data Protection (GDPR)

Mentorship.world processes your personal data as Data Controller in accordance with the General Data Protection Regulation (EU) 2016/679 (GDPR) and Spanish LOPDGDD (Ley Orgánica 3/2018). Full details are set out in our Privacy Policy.

By agreeing to this Agreement you consent to:

• Your name, professional title, location, bio, credentials, and profile photo being displayed publicly on the Platform
• Your contact details (email address and, where provided, WhatsApp number) being used by the Platform team for operational and review purposes — these are not displayed publicly. WhatsApp messages are processed via Meta Platforms Ireland Ltd. in accordance with their DPA and Standard Contractual Clauses.
• Your booking and payment data being processed and retained for 7 years to comply with Spanish commercial and tax law

You may withdraw consent for public profile display at any time from your dashboard. This will remove your profile from public search but will not delete historical booking records. To request full data deletion, email info@mentorship.world.

8. Intellectual Property

Session content, materials, and advice you provide in sessions remain your intellectual property. You grant Mentorship.world a non-exclusive, royalty-free licence to display your profile content (name, bio, photo, credentials) on the Platform for as long as your account is active. You retain all rights to any materials you create outside the Platform.

9. Termination

By you: You may terminate this Agreement and deactivate your mentor account at any time by emailing info@mentorship.world. You must honour all already-confirmed bookings before deactivation unless exceptional circumstances apply.

By Mentorship.world: We may suspend or terminate your account immediately and without notice for:

• Submission of fraudulent or materially false credentials
• Serious or repeated breaches of this Agreement
• Conduct that poses a risk to mentee safety or the reputation of the Platform
• Failure to complete Stripe Connect onboarding within 30 days

In cases of non-urgent breaches, we will provide written notice and a reasonable opportunity to remedy the breach before termination.

Upon termination, any pending payout for completed sessions will be processed on the standard timeline. Payouts for disputed or refunded sessions will be handled according to the outcome of those disputes.

10. Limitation of Liability

Mentorship.world's total liability to you arising out of or in connection with this Agreement shall not exceed the total platform fees retained from sessions completed by you in the 3 months preceding the event giving rise to the claim.

Mentorship.world is not liable for: loss of earnings from cancelled or no-show sessions (other than through the refund/payout process); loss of reputation; or indirect or consequential losses.

11. Governing Law and Jurisdiction

This Agreement is governed by the laws of the Kingdom of Spain and applicable European Union law. Any disputes arising out of or in connection with this Agreement that cannot be resolved amicably shall be submitted to the non-exclusive jurisdiction of the courts of Gijón, Asturias, España.

12. Entire Agreement and Amendments

This Agreement, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and Mentorship.world regarding your role as a Mentor.

Mentorship.world may update this Agreement with 30 days' written notice by email. Continued use of the Platform after the effective date of any amendment constitutes acceptance of the updated Agreement.
